Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the https://www.nativevideo.co website and its SOFTWARE available at appexchange.salesforce.com (collectively the “Service”) operated by Nativevideo Ltd (“us”, “we”, or “our”). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Purchases

You are encouraged to familiarise yourself with your rights contained within the Sale of Goods Act 1979, Unfair Contract Terms Act 1977 and the Unfair Terms in Consumer Contracts Regulations 1999. If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete. You expressly agree that Nativevideo Ltd is not responsible for any loss or damage arising from the submission of false or inaccurate information. By submitting such information, you grant us the right to provide the information to third parties for purposes of facilitating the completion of Purchases. We reserve the right to refuse or cancel your order at any time for certain reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. You expressly agree that Nativevideo Ltd cannot accept any liability for loss or damage arising out of such cancellation. We reserve the right to refuse or cancel your order if fraud or an unauthorised or illegal transaction is suspected.

Availability, Errors and Inaccuracies

We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other web sites. You expressly agree that any such offer of a product or service does not constitute a legal offer capable of attracting legal consequences. We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice. Section “Availability, Errors and Inaccuracies” is without prejudice to existing statutory rights.

Subscriptions

Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Nativevideo Ltd cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Nativevideo Ltd customer support team at least 90 days before the renewal date. A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide Nativevideo Ltd with accurate and complete billing information including full name, address, state, zip code / post code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Nativevideo Ltd to charge all Subscription fees incurred through your account to any such payment instruments. Should automatic billing fail to occur for any reason, Nativevideo Ltd will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Free Trial

Nativevideo Ltd may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”). You may be required to enter your billing information in order to sign up for the Free Trial. If you do enter your billing information when signing up for the Free Trial, you will not be charged by Nativevideo Ltd until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected. At any time and without notice, Nativevideo Ltd reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

Fee Changes

Nativevideo Ltd, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Nativevideo Ltd will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness. By posting Content to the Service, you grant us the right and license to use, modify, perform, display, reproduce, and distribute such Content on and through the Service solely as part of the provision of the Service. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Fair use policy

Usage of Nativevideo Ltd products is monitored on a continuous basis. Only customers who consistently utilise the service outside Nativevideo recommended best practices will be affected by the Nativevideo Fair Usage Policy (FUP). Should this occur, Nativevideo Ltd will contact you to resolve the condition considered to be outside of fair use. Outside fair use is currently defined as per the limits detailed below, although Nativevideo Ltd reserves the right to amend these limits.

Usage of Nativevideo Ltd products is charged monthly or annually on a per-customer basis. Fair Usage of Nativevideo Ltd products is defined in terms of the duration in minutes of video and audio recordings uploaded or recorded per user/ per month. Unless otherwise specified in the subscription Order Form, the FUP for Nativevideo Ltd products usage is applied if the total duration of videos and/or audios uploaded or recorded through its platform is greater than 720 minutes per user/ per month, then additional charges will be calculated and may be charged based on the contracted subscription fees.

If a customer repeatedly exceeds this FUP, Nativevideo Ltd reserves the right to restrict service or levy charges for excessive usage.

Extenuating Circumstances

Nativevideo Ltd understands that customers will occasionally have high volumes of video or audio outside of normal usage patterns. In those cases where this traffic can be predicted, Nativevideo Ltd requests to be informed with as much notice as possible to ensure that service delivery remains consistently high.

Changes to the Fair Usage Policy

This Fair Usage Policy may be updated from time to time, and the latest version of the FUP will be made available in this page.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Nativevideo Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Nativevideo Ltd. The content you upload will remain your exclusive property. You give Nativevideo Ltd a worldwide, non-exclusive, royalty-free, transferable licence (with right to sub-licence) to use, reproduce, distribute, prepare derivative works of, display, and perform that Content solely in connection with the provision of the Service.
